Eurasia Association LEGAL Statutes

ARTICLE 1 -DENOMINATION

Within the scope of Article 60 of the Swiss Civil Code, an association is hereby established for an unlimited duration, under the denomination of “EURASIA , Association for the Development of Curative Education in Viêt-Nam” (hereinafter called the Association)

ARTICLE 2 -SEAT OF THE ASSOCIATION

The Association shall have its seat at the domicile of its president, elected pursuant to Article 6 (a) of this STATUTSe (1)

ARTICLE 3 -MEMBERSHIP

Membership of the Association is open to all individuals and legal entities, without any distinction as to their social status, ideological convictions, political affiliation, ethnic origins or belief, provided that they abide by the objectives of the Association set forth in Article 4 and duly settle annual fees for membership as provided for in Article 6 (d).

ARTICLE 4.- OBJECTIVES

The objectives of the association are as follows namely:

• To foster the development and the social and economic integration of vulnerable populations, particularly disabled individuals, as well as all groups of marginalized individuals

• To strive for recognition of, and respect for, their dignity and rights.

To promote Happiness and Wellbeing for all human beings, for all other species and for all beings

For such Purposes, the Association shall:

• Support the development of curative education and of social therapy

• Seek to promote the creation and development of pedagogic, educational and therapeutic institutions adapted to the needs of said vulnerable populations, consistent with the cultural and spiritual features prevailing in each local community involved;

• Undertake to foster and ensure proper training for special educators, teachers, therapists and other professionals in the aforementioned fields of activities;

• via its program Eurasia Learning Institute for Happiness and Wellbeing, undertake the development of holistic accompanying processes for individuals and organisations as well as events to foster a profound personal and collective transformation

ARTICLE 5 – COMPETENT BODIES

The competent bodies of the association are:

• The General Assembly referred to in Articles 6 to 11 hereunder

• The Managing Committee defined in article 12 ; and

• The Internal Audit provided for in Articles 6(b) and 15, respectively.

ARTICLE 6 – THE GENERAL ASSEMBLY

The general Assembly consists of all members of the association as defined in Article 3, who have paid their annual member’s fee to the Association.

The General Assembly:

a) Elects the Managing Committee, it’s President, Vice-President, Secretary and Cashier

b) Elects the members of the Internal Audit ;

c) Considers and approves the annual general report on the association’s activities and the closure of it’s account’s ;

d) Fixes the membership’s annual fees and determines the association’s budget for the following fiscal year;

e) Decides the exclusion of a member by a qualified two-third majority of the members and voting, including those     duly represented in writing in accordance with the procedure laid downin Article 19 ;

f) Considers any item related to the Association’s objectives as may be submitted by the
Managing Committee or, through it, by any member of the association ;

g) Proceeds to any revision of this STATUTSe in accordance with the procedure set forth in Article 21;

f) Decides the dissolution of the Association in accordance with the provisions of Article 22

ARTICLE 7 – REGULAR SESSIONS

At the invitation of the Managing Committee referred to in Article 12, subject to an advance notice to be forwarded by the President of the Association to all members at least six weeks before the date scheduled for the session, the General assembly shall meet at regular sessions in the first half of each year.

ARTICLE 8 – SPECIAL SESSIONS

A special session of the General assembly may be convened by decision of the Managing Committee or at the request of one-sixth of the association’s membership, provided that such any request in writing shall be submitted at least six weeks before the date envisaged for such special session.

ARTICLE 9 -POWER OF DECISION

The General assembly shall take decisions by the majority of the association members present and voting including those duly represented in writing, except for the exclusion of a member from the Association as provided for under Article 19.

ARTICLE 10 – PROPOSED ADDITIONS OR CHANGES TO THE AGENDA OF THE GENERAL ASSEMBLY

Proposal for additions or changes to the agenda of the General Assembly shall be addressed to the Managing Committee at least four weeks before the date scheduled for any session. Invitations to the General Assembly shall be forwarded to the members of the association, together with the agenda for the session, no later than six weeks before the date scheduled for the meeting.

ARTICLE 11 – VOTING RIGHT

Each member of the association, who has paid annual fees for membership, is entitled to one vote at the General Assembly. The latter’s resolution shall be carried out by the majority of the members present and voting including those duly represented in writing. The same procedure shall apply to any elections called for under this STATUTSe. In the event of equal ballots, the vote from the President of the association shall prevail.

ARTICLE 12 – THE MANAGING COMMITTEE

The Managing Committee, referred to in Article 6 (a), shall consist of at least five (5) members or nine (9) members at most. It is empowered to take decisions whenever the majority of its member is in attendance at its meetings. It shall deal with all activities of the Association and act, on the latter’s behalf, in external relations. It shall give advice on, and consent to, the acceptance of new members into the association in accordance with Article 3. It is empowered to decide  expenditures for the association within the annual budget established by the General Assembly under Article 6 (d).

ARTICLE 13 – MEANS OF ACTION AND CO-ORDINATION

The managing committee shall meet, as needed be, at the convening of its President. It shall consider such meand and ways as it deems fit for the development and co-ordination of activities of the association.

ARTICLE 14 – AUTHORITY FOR SIGNATURE AND DELEGATION

The President and Vice-President of the Managing Committee shall jointly sign all expenditures for and on behalf of the Association. In the event of absence or incapacity of either or both of them, they shall as appropriate entrust such authority to one or two other members of the Managing Committee, who shall be jointly designated by them to such effect.

ARTICLE 15 – THE INTERNAL AUDIT

The General assembly shall elect two members and one substitute to constitute the Internal Audit of the Association pursuant to Article 6 (b), who shall be responsible for official examination of the accounts of the Association. They shall submit an annual report thereon and related proposals to the General Assembly for consideration. No member of the Managing Committee may be eligible for the service on the Internal Audit.

ARTICLE 16 – TERM OF ELECTIVE ASSIGNMENTS

In respect of all elective assignments under this STATUTSe, the term shall be three (3) calendar years, with option for re-election. In the event of resignation from any current assignment, the elected successor shall carry on the predecessor’s duties till the end of the latter’s term of assignment.

ARTICLE 17 – FINANCES

For support of the activities carried out by the Association, it is called for membership annual fees, donations, legacies and other contributions of any kind, which shall be submitted to the Managing Committee for decision. In the event of a member’s withdrawal from the Association pursuant to Article 20, membership annual fees shall remain due for the calendar year in the course of which withdrawal was notified in writing by the member concerned to the Managing Committee.

Eurasia, via the activities of Eurasia Learning Institute (ELI) may also develop income-generating projects in order to support the activities of the association et to serve its goals.

ARTICLE 18 – INDEPENDANCE OF MEMBERS

Each member’s independence and private interests shall not be affected by membership within the Association in so far as such member doe not contravene the objectives, principles and related decisions of the Association pursuant to this STATUTSes.

ARTICLE 19 – EXCLUSION

The General Assembly shall decide the exclusion of a member from the Association pursuant to Article 6 (e), on the advice of the Managing Committee, after consideration of verbal or written elucidation as may be submitted by the member concerned.

ARTICLE 20 – WITHDRAWAL

Withdrawal from the Association may be notified to the Managing Committee at any time, without motivation. It shall become effective forthwith, subject to the provisions of Article 17 on Finances of the Association.

ARTICLE 21 – STATUTSE REVISION

The General assembly may, by a qualified two-third majority of the members present and voting, including those duly represented in writing, proceed to a revision of this STATUTSe, on the advice of a corresponding recommendation from the Managing Committee.

ARTICLE 22 – DISSOLUTION

The General Assembly may, by a qualified two-third majority of the members present and voting, including those duly represented in writing, decide to dissolve the association. In such an occurrence, it shall further by simple majority ballot determine the disposal of the Association’s assets and the settlement of its arrears, if any.

ARTICLE 23 – LIABILTIES
The activities of the Association derive from it’s own assets or properties and shall, in no way, affect it’s member’s assets or liabilities of any kind.

DONE AT SAINT-PREX, SWITZERLAND, on the sixth of December 1989, on which occasion the participants have given full consent to this STATUTSe establishing Eurasia.
